When Mr. Mansfield, then His Majesty's Consul at

Canton, in 1898 raised the question of the right of a Company

registered under the Hongkong Companies Ordinances composed

of Chinese and carrying on business outside the jurisdiction

of Hongkong in China to British Consular recognition and

protection, I had the honour to furnish to His Majesty's

Minister an opinion dated June 1897, a copy of which is hereto

attached.

The general effect of that opinion was that the

business and property of a Company duly registered under the

Hongkong Companies Ordinances, of which the provisions were in

accordance with those of the home Companies Acts, could not

be refused recognition whatever might be the nationality of

the individual Directors, Managers, or Shareholders.

further advised that personal protection was not due save as

incidental to the protection of the business of the Company.

In advising that the term "person" in the Ordinance

covered an Alien, I expéeted an alien enemy.

On the matter being referred to the Foreign Office

the opinions of the Law Officers given on previous occasions

with reference to cases in other countries were communicated

to His Majesty's Minister. The Law Officers had advised

"against the acceptance of the doctrine "that foreigners by

registering themselves in this country (England) as a Limited

Company are entitled to claim from His Majesty's Government

the protection afforded to British subjects in foreign countries".
